CONDITIONS OF SALE

1. You have completed the online registration form, which forms part of this agreement and you will be subject to the following terms and conditions which govern the relationship between Edward Symmons and you, the person whose name and details appear on the registration document, in connection with use of the Edward Symmons website and, in particular, the Businesses For Sale section.

2. By completing the registration form, you have agreed to the terms and conditions of this agreement and should you have completed the e-mail post box section, you have agreed for Edward Symmons to supply a service to advise you on businesses for sale.

3. Edward Symmons reserve the right to reject any application to register for the subscription service as it feels appropriate and without having to give any reason. The information provided though the Edward Symmons website is granted subject to the terms of this agreement and any additional terms applicable to those particular businesses for sale as additional conditions. Should there be, for any reason, a conflict or inconsistency between the agreement and additional conditions, the additional conditions will prevail in order to resolve any conflict or inconsistency.

4. Nothing within the agreement confers or purports to confer on any one who is party to this agreement any rights under the Contract (Rights of Third Parties) Act 1999. The documentation on the Edward Symmons site is provided as part of a service and is protected by copyright, database rights and other intellectual property rights, which are reserved to Edward Symmons .

5. You will agree not to try to circumvent the security of the service or tamper with, hack into, or otherwise disrupt or disable any computer system, server, website, router or another device used to provide the Businesses For Sale service. Edward Symmons cannot undertake or warrant that the service will be provided regularly, or that the site will operate continuously without interruption. We reserve the right to suspend the site for the purposes of repair, maintenance or support, or if we become aware of any potential disputes where we believe a third party is in breach of the obligations of this agreement. We reserve the right to alter and edit the site and its sever, or to suspend your access to the site if we have reasonable grounds or cause for complaint.

6. You are responsible for insuring your IT systems are appropriate to access and use the Businesses For Sale service. You acknowledge that Edward Symmons do not warrant that any material available on the site is free of viruses of other codes that may be harmful, and that you are responsible implementing sufficient anti-virus and other security checks to ensure the safety of any data downloaded.

7. The information contained within these particulars is to be treated as strictly private and confidential. You are not permitted to transmit any information to other third parties nor are you permitted to make any profit from the use of that information, or publish, disseminate or transmit any of the information, nor exploit it for business purposes without the agreement of Edward Symmons . You are only permitted to read, print and download parts of the material and information from the website for personal use, or for ordinary course of business. Furthermore, on no account must any approach be made directly to any members of staff on the company�s premises.

9. These particulars are prepared from information supplied by the company directors, staff and company records. No warranty or guarantee is provided by Edward Symmons or its clients, or any other representatives, as to the accuracy of the information. None of the statements contained within these particulars are to be replied upon as statements of representation of fact. Intending purchasers must satisfy themselves by inspection or otherwise as to the correctness of each of the statements contained within the particulars.

10. The information provided on the website does not constitute any formal advice or recommendation by Edward Symmons and cannot be relied upon in making any decisions. Edward Symmons does not accept liability for the inability of anyone to access to the Edward Symmons website. There will be no liability in connection with any authorised use of the site, or for any error, corruption or breach of security resulting from the transmission of data. All appointments to view and all negotiations with regard to any interest in the business and/or assets will be conducted through Edward Symmons .

11. In accordance with the terms of the Misrepresentations Act, 1969, Edward Symmons acting for themselves and for the vendors further give notice that these particulars do not constitute any part of an offer or contract.

12. All statements contained within these particulars as to the company are made without responsibility on the part of Edward Symmons , or the vendors or lessors.

13. The vendors do not make or give, and neither Edward Symmons or any person in their employment, has any authority to make or give any representation or warranty whatsoever in relation to the business, assets or property.

14. You agree to defend and indemnify Edward Symmons and its third party licensors against any claim or cause of action brought by a third party as a result of your use of our website in a manner that is not expressly permitted by this agreement.

15.Edward Symmons is not party to any legal arrangements reached between a client of Edward Symmons and a prospective purchaser, and Edward Symmons have no authority whatsoever to bind either a client of Edward Symmons on a prospective purchaser to a contract. Edward Symmons are providers of a service and have no responsibility for any loss occasioned due to the failure of any legal arrangements or any breach by any party to any such arrangements or terms and conditions. This agreement is governed by the Laws of England.

Consumer Protection Act

16.No lots are sold as new, as defined by the Consumer Protection Act, 1987.

Health & Safety of Work Act

17. It is expressly brought to a potential buyer�s attention that at the time of sale, any item of plant, machinery or equipment contained in the goods may not necessarily comply with the Health & Safety of Work Act, 1974; The Environmental Protection Act, 1990; Construction Design and Management Regulations, 1994 or any other Act of Parliament or regulation there under governing the use of that plant and machinery or equipment in a working environment. Buyers of any such plant and machinery or equipment are hereby required to ensure so far as reasonably practical that such items will be safe and without risk to health and that the use of any such items at a place or work within the United Kingdom does not contravene any Acts of Parliament or regulation applicable to such use.

Dangerous Substances

18. It is expressly brought to the attention of potential buyers that certain types of plant or main service installations could contain blue and white asbestos, dangerous chemicals and hazardous waste which, if not handled correctly during the removal work from the premises, could be in breach of the Health & Safety at Work Act, Sections 2-9; Control of Substances Hazardous to Health Regulations, 1988 (COSHH) or other current legislation regulating the use of such substances in a working environment.

19. The buyer shall ensure so far as is reasonably practical that they comply with the Health & Safety at Work Act, 1974; COSHH and other current legislation in connection with the removal, handling and transportation of such dangerous substances and/or hazardous waste, or shall employ a specialist contractor to remove them. The buyer shall normally satisfy the agent in relation to its removal procedures and the removal of waste materials must be undertaken by approved and licenced subcontractors. The buyer will indemnify the vendor, their servant or agents against any loss or expenses suffered by them as a result of the buyer or a subcontractor�s failure to comply with this legislation.

Governing Law

20. These conditions will be governed by and construed in accordance with English Law.
